Proforma Invoice vs Tax Invoice: Differences and Examples
A proforma invoice presents a proposed transaction in invoice form. A tax invoice is the applicable issued tax document for a supply. Similar layouts and even identical totals do not give the two documents the same role.

These are excerpts for comparison, not complete legal documents. The tax amounts are illustrative arithmetic, not an asserted rate for display stands or any actual supply. Required particulars and tax treatment must be checked separately.
Why the documents differ
The buyer reduced the order from ten stands to eight before the supply. The seller therefore recalculated the later invoice instead of merely changing the word “proforma” on the earlier file. The proforma keeps its original reference so both parties can see what was proposed.
Even if all ten stands had been supplied and the total stayed ₹5,900, the later document would still need its own correct issue context and required invoice particulars. Equal totals do not collapse the quotation and supply stages into one event.
Choose by purpose, not appearance

The GST distinction
CGST Act section 31 governs tax-invoice issuance for the supplies within its scope. It also distinguishes other documents, including a bill of supply and receipt or refund vouchers in relevant circumstances. A commercial proforma does not replace those requirements.
Keep tax questions separate from the layout: registration, type of supply, issue timing, required fields and any e-invoice obligation all need the applicable treatment. A customer signature is not a universal condition you should invent for every tax invoice.
Move from proposal to issued document without losing the history
- Confirm the accepted quantity, price, delivery details and any changes to the proposal.
- Prepare the applicable invoice using the actual transaction details and correct reference series.
- Cross-reference the accepted order or proforma where useful.
- Show any payment already received separately from the invoice total and retain its source record.
- Keep the earlier proposal and the issued invoice together. After issue, handle further changes through the appropriate correction or adjustment process.
For an export transaction, check the additional document requirements
A proforma is also used to communicate a proposed export transaction. The International Trade Administration describes it as an invoice-form quotation used during preparation and negotiation. Its export guidance is useful for that commercial distinction, but it is not Indian GST or destination-country legal advice.
A final commercial invoice, packing list, shipping record and GST export particulars can have distinct roles. Confirm the actual shipment requirements with the responsible export professional rather than assuming a proforma is sufficient for customs clearance.
Common questions
Can a proforma show GST?
It can show a proposed or estimated tax component as part of the quotation. That does not turn it into the required tax invoice or establish the correct tax treatment.
Is a proforma a receipt for an advance?
A proposal does not acknowledge receipt of money merely because it requests an advance. Record the actual payment separately and issue the applicable receipt or voucher where required.
Can I just rename the proforma PDF?
Check the actual supply and prepare the correct issued document with its own reference, date and particulars. Renaming a file does not complete that process.
Is a proforma always legally meaningless?
Its terms and the surrounding agreement can matter. A proforma communicates a proposed transaction, but it does not substitute for the applicable issued tax document.
